1. About these Terms

These Terms and Conditions of Use (the "Terms") apply to your access to and use of www.easyclickweb.com, including its pages, forms, booking links, website-audit functionality and any other features made available through it (collectively, the "Website"). The Website is operated by EasyClick storitve d.o.o., a company incorporated under Slovenian law, also operating under the short name EasyClick d.o.o. ("EasyClick", "we", "us" or "our").

By accessing or using the Website, you acknowledge that you have read and agree to these Terms. If you do not agree, you must not use the Website. If you use the Website on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these Terms.

2. Scope and intended users

The Website is primarily intended for businesses, professionals and organisations interested in digital marketing, lead generation, advertising, web development, automation, artificial intelligence solutions, voice agents, chatbots, CRM systems and related services.

The Website may be viewed by individuals acting as consumers. Where mandatory consumer-protection rules apply and cannot lawfully be excluded, those rules prevail over any conflicting provision of these Terms.

Actual scope, timing, pricing, responsibilities, dependencies and deliverables are determined only in a written proposal, order form, statement of work or service agreement accepted by EasyClick and the client.

4. Separate contracts for EasyClick services

Submitting a form, requesting an audit, booking a call or communicating with EasyClick does not by itself create a client relationship, agency relationship, partnership, employment relationship or obligation to provide services.

If EasyClick agrees to provide paid or ongoing services, those services will be governed by a separate written agreement. If there is a conflict between these Terms and a signed service agreement, the signed service agreement will prevail in relation to the relevant services.

5. Free website and social-media audits

The Website may offer automated or assisted audits of websites, social-media profiles or other publicly accessible digital properties. Audit outputs are estimates generated from available data, technical tools, automated analysis and assumptions. They are provided for informational purposes only and may be incomplete, outdated, inaccurate or affected by third-party systems.

By submitting a website address, profile or other digital property for analysis, you confirm that the information is publicly accessible or that you are authorised to request the analysis. You must not submit credentials, private URLs, confidential information, unlawful content or any property that you are not authorised to analyse.

An audit does not constitute legal, financial, cybersecurity, accessibility, SEO or other regulated professional advice. You remain responsible for verifying its findings and deciding whether to implement any recommendation. EasyClick does not guarantee rankings, traffic, conversions, revenue, compliance, security or any other result.

6. Consultation requests and bookings

You may request information or book a consultation through the Website or through a third-party booking service. A booking is subject to availability and does not guarantee acceptance of a project. EasyClick may reschedule or cancel a meeting where reasonably necessary and will use reasonable efforts to notify you using the contact information provided.

You are responsible for providing accurate, current and complete contact and business information. You should not submit sensitive personal data, payment-card information, passwords, trade secrets or other confidential material through a general contact form unless EasyClick has expressly requested it through an appropriate channel.

7. Permitted use

You confirm that you have the rights and permissions necessary to provide those materials and that their use as described above will not infringe any third-party rights. You remain responsible for the legality, accuracy and completeness of what you submit.

9. Intellectual property

13. Limitation of liability

To the maximum extent permitted by applicable law, EasyClick will not be liable for indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business opportunity, goodwill, data or anticipated savings arising from or connected with use of, or inability to use, the Website or reliance on its free outputs.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights.

Any liability arising from separately contracted EasyClick services is governed by the applicable proposal, order form, statement of work or service agreement, not by this clause.

14. Indemnity for unlawful use

If you use the Website on behalf of a business, you agree, to the extent permitted by law, to indemnify EasyClick against third-party claims, losses and reasonable costs arising directly from your unlawful use of the Website, your infringement of third-party rights or your material breach of Sections 7 or 8. This obligation does not apply to the extent a claim was caused by EasyClick.

15. Privacy and cookies

Personal data collected through the Website is handled in accordance with the EasyClick Privacy Policy. Information about cookies and similar technologies is provided in the Cookie Policy. Those policies are separate from these Terms and should be read before submitting personal data or adjusting cookie choices.

16. Electronic communications

When you contact EasyClick electronically, you agree that EasyClick may respond using the contact details you provide. Service-related replies and requested communications are not marketing messages. Marketing communications will be sent only where EasyClick has an appropriate legal basis, and you may opt out using the method stated in the relevant message.

17. Suspension and protection of the Website

EasyClick may restrict or block access where it reasonably believes that use is unlawful, abusive, fraudulent, harmful to security, disruptive to other users or inconsistent with these Terms. Changes apply from publication and do not retroactively change an existing signed service agreement. Your continued use after the effective date constitutes acceptance of the revised Terms, to the extent permitted by law.

19. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Slovenia, without prejudice to mandatory conflict-of-law rules or protections that cannot lawfully be excluded.

For users acting in the course of business, the courts having jurisdiction over EasyClick's registered office will have exclusive jurisdiction. If you act as a consumer, this clause does not deprive you of any mandatory right to bring or defend proceedings in the courts available to you under applicable law.

20. General provisions

If any provision of these Terms is held invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure or delay by EasyClick to enforce a provision is not a waiver. You may not assign rights or obligations under these Terms without EasyClick's prior written consent. EasyClick may assign these Terms as part of a merger, restructuring, sale of business or transfer of the Website, subject to applicable law.

These Terms constitute the entire agreement concerning use of the Website itself. They do not supersede the Privacy Policy, Cookie Policy or any separate service agreement.
